Customer agreement

Standard terms for an organisation’s agreed DAWN service.

Published Stockholm IT Academi AB

Parties, scope and acceptance

These standard terms are between Stockholm IT Academi AB and the customer identified in an accepted written order. They apply only when that order expressly incorporates this version. Merely visiting the website or registering an individual account does not execute a customer agreement.

The order identifies the customer, enabled services, authorised use, fees and taxes, payment schedule, service term and any support or service level commitments. No paid order is formed until those particulars are agreed. A signed variation prevails over these standard terms; the Data processing agreement prevails on personal data processing.

Service and customer duties

We provide the agreed services with reasonable skill and care. Features shown in demonstrations or development environments are not additional contractual deliverables. No uptime percentage, recovery time or response time is promised unless expressly agreed in the order.

The customer appoints authorised administrators, maintains lawful instructions and accurate records, controls access and retention, gives required notices and ensures meaningful human review of employment decisions. It must assess the suitability of its use case, provide necessary staff training and comply with the Acceptable use policy.

Content, confidentiality and providers

Customer content remains the customer’s or its licensors’ property. DAWN and its software remain ours or our licensors’. We receive only the rights needed to perform, secure and support the agreement. Confidential information may be used only for those purposes and disclosed only to authorised people with a need to know and appropriate confidentiality duties.

Confidentiality does not cover information lawfully public, independently developed, already lawfully known or lawfully received without restriction. Legally compelled disclosure is limited to what is required, with notice where permitted. Providers appointed by DAWN remain subject to our applicable contractual responsibilities. Independently connected customer services remain under the customer’s chosen terms.

Changes, suspension and termination

Material changes to contracted scope or price require agreement. We may make proportionate changes for security, legal compliance or technical compatibility, with advance notice where practicable. Restrictions to contain misuse or a security incident must be limited to what is reasonably necessary.

The order controls term, renewal and ordinary termination. A party may terminate for a material breach that remains unresolved after written notice and a reasonable opportunity to remedy it. Immediate termination is available where continued performance would be unlawful or an irremediable breach makes performance unreasonable. Accrued payment obligations and provisions intended to survive remain effective.

Exit and personal data

The customer can request return or deletion of personal data under the Data processing agreement. The parties document the export scope, format and completion process, including storage versions and backups. Account deactivation is not proof that every copy has been erased. We confirm the actual outcome and identify any legal retention exception.

Responsibility and disputes

AI output and external services are not guaranteed to be error free. Neither party excludes liability that mandatory law prevents it from excluding. Subject to that protection, neither party is liable for indirect or consequential loss or loss of expected profit. There is no monetary liability cap under these standard terms unless one is expressly agreed in the order.

Swedish law governs this business agreement. The parties first seek to resolve a dispute through their designated contacts; Swedish courts have jurisdiction unless the signed order specifies another lawful forum. These terms do not waive an individual’s mandatory consumer, employment or data protection rights. Contact hello@dawnhcm.com for contract matters.
